Terms of Use

1. Introduction

These Terms of Use ("Terms") govern your use of the Tribe24 mobile application ("App") owned by Off Diary Ltd ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you disagree, please stop accessing the App. We reserve the right to update these Terms periodically, and any changes will be posted on this page. Please note that continued use of the App is accepted in accordance with the revised Terms.

2. Use of the App

  • Eligibility: You must be at least 13 years old (or 16 in the European Union) to use the App. Users under 13 (or 16 in the EU) require parental or guardian consent. Parents are responsible for their child’s use of the App and for ensuring their child's compliance with these Terms.
  • Prohibited Uses: You may not use the App for illegal activities, unauthorized tracking, harassment, spamming, or any action that disrupts the App or infringes on others’ rights.
  • License: We grant you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes. The user has no right copy or reproduce the App or any part of the App other than under the license granted in this Agreement; sell, resell, rent, lease, loan, supply, distribute, redistribute, publish, or republish the App or any part of the App; Modify, alter, adapt, translate or edit, or create derivative works of the App or any part of the App; reverse engineer, decompile, or disassemble the App or any part of the App; copy, modify, transmit, distribute, publicly display, demonstrate, create any derivative works (products); use or in any way reproduce any copyrighted materials, images, screenshots, trademarks, trade names, proprietary information, service marks, and other objects of intellectual property available on the App; this list is not exhaustive.
  • Account Creation and Security: You are responsible for maintaining the confidentiality of your account credentials (e.g., Apple or Google SSO login). Please notify us immediately of unauthorized access at tribe24@theoffdiary.com.
  • Third-Party Links and Services: The App may include links to third-party services (e.g., Apple Maps, Google Maps). We are not responsible for their content or practices. You can use them at your own risk.
  • Functions: Our app utilizes GPS technology to help you locate and track your family members, friends, and loved ones in real-time on a live, private map. 
    • With Place, you can set up multiple Places (using geo-fencing) to receive notifications when members enter or exit.
    • With Tribe, you can create a group of people who share their locations within the group, allowing you to easily track their location history and current location. Users can invite members by sharing a unique, private 6-digit number, and once they accept the invitation, they can be located on the map at any time.

3. User Content

  • Responsibility: You are solely responsible for the content you share via the App (e.g., location data, messages).
  • License Grant: You grant Off Diary Ltd a non-exclusive, royalty-free, perpetual, irrevocable right to use, modify, and distribute your content as needed to provide the App’s services.
  • Removal: We reserve the right to remove content that does not comply with these Terms at our discretion.
  • No Liability: We are not responsible for the accuracy or reliability of user-generated content.

4. Payment and Subscription

  • Payment Terms: Subscriptions are processed through third-party platforms (e.g., Apple App Store, Google Play Store). We do not store payment information.
  • Auto-Renewal: Subscriptions auto-renew unless canceled at least 24 hours before the end of the billing period through your Apple or Google account settings.
  • Trial Period: Some of our subscriptions include a free trial period, where you can experience the app at no cost. A subscription with the free trial period will automatically renew to a paid subscription once your free trial expires. If you decide to unsubscribe from a paid subscription before Apple starts charging your payment method, cancel the subscription before the free trial ends.
  • Refund Policy: Refunds may be requested within 30 days, subject to Apple/Google policies. EEA/UK users have a 14-day cooling-off period. Email tribe24@theoffdiary.com for refund requests.
  • Cancellation: You can cancel at any time via the Apple App Store or the Google Play Store. Access continues until the end of the billing period; no refunds are provided for unused periods.

User Guarantees

By using or visiting our app, you agree to comply with the following terms:

  • You meet the age restrictions required to use the app.
  • You will not use the software for fraudulent activities, insults, or actions that defame the honor and dignity of other users.
  • You will not distribute obscene or pornographic content.
  • You will not engage in the unauthorized collection, processing, or distribution of personal data of other users.
  • You will adhere to the terms and conditions established by this agreement.
  • You will respect the rights of other users, including but not limited to intellectual property rights.
  • You will not distribute malicious software.

5. Privacy

Your use of the App is governed by our Privacy Policy, which details how we collect, use, and protect your data. Please check our Privacy Policy.

6. Intellectual Property

The App and its content (e.g., text, graphics, logos, software) are owned by Off Diary Ltd. and protected by intellectual property laws. You may not copy, modify, or distribute the App without our written consent.

7. Modification and Termination

We reserve the right to modify, suspend, or discontinue the App at any time. We reserve the right to terminate or suspend your access to this service for violating these Terms, with or without notice.

8. Limitation of Liability and Disclaimers

In no event shall we, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the App;
  • any conduct or content of any third party on the App;
  • any content obtained from the App and
  • Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose;
  • Violations by users or third parties of the rights to the intellectual property of third parties who are admitted to using our App;
  • Cases where the functionality of the app is disrupted or limited as a result of a malfunction of a mobile device, Internet provider, or mobile operator.

9. Indemnification

You agree to defend, indemnify, and hold us harmless and our licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: any breach by you of any of these Terms; your use or misuse of the App or Content; a violation by you of applicable law, third party’s intellectual property or other rights, any agreement or terms with a third party to which you are subject. We reserve the right to handle our legal defense however we see fit, including instances when you indemnify us. Therefore, you agree to cooperate with us in executing our strategy.

10. General Provisions

  • Assignment: We continually work on developing our service and the services we provide to ensure a more convenient and comfortable user experience. Therefore, the service use policy may be changed occasionally and supplemented by new provisions. When the terms change, we will notify you in advance so that you can familiarize yourself with the new terms and conditions. We reserve the right to assign our rights under these Terms without your consent.
  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Off Diary Ltd.
  • Severability: If any provision is invalid, the remaining provisions remain enforceable.
  • Force Majeure: We are not liable for delays due to events beyond our control (e.g., natural disasters).
